YIN CPA may modify these Terms at any time. We will post the revised Terms with a new “Last updated” date. Your continued use constitutes acceptance of the changes.

3. Services
YIN CPA is authorized to represent clients before the IRS in all 50 states with full representation and to provide tax advice and preparation services (collectively, “Services”). All Services are subject to execution of a formal engagement letter.

4. Use of the Site

• You may view, download, and print content for your personal, non-commercial use only.

• You agree not to reverse-engineer, reproduce, distribute, or create derivative works from any part of the Site, except as expressly permitted in writing by YIN CPA.

5. Intellectual Property

• All content on the Site—including text, graphics, logos, templates, data models, and software—is owned or licensed by YIN CPA and protected by U.S. and international copyright, trademark, and trade-secret laws.

• “YIN CPA” and “Next-Gen Tax Authority” are service marks.

• No portion of the Site may be used without our prior written consent.

6. Proprietary IP
Our proprietary methodologies, algorithms, data models, templates, and frameworks (collectively, “Proprietary IP”) are confidential and protected. You may not copy, modify, distribute, or disclose any Proprietary IP.

7. User Conduct
You agree not to:

• Use the Site in any unlawful manner or in violation of any applicable laws.

• Interfere with the Site’s security or functionality.

• Upload malicious code or unsolicited advertising.

8. Disclaimer of Warranties
THE SITE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. YIN CPA DOES NOT GUARANTEE ACCURACY OR COMPLETENESS OF ANY CONTENT.

9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YIN CPA AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL YIN CPA’S AGGREGATE LIABILITY EXCEED $10.

You agree to indemnify, defend, and hold harmless YIN CPA, its officers, directors, employees, and agents from any claims, liabilities, losses, or expenses (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site.

You agree to submit to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.

15. Dispute Resolution
Any dispute arising out of or relating to these Terms shall first be submitted to non-binding mediation in Los Angeles, California. If unresolved, either party may pursue any available legal or equitable remedies.
